Pacium is a European company (registered office at Dalenstraat 2, 3020 Winksele, VAT BE1025608813) that builds an AI-powered email client and assistant for accounting firms. These Terms of Service (the "Legal Terms") govern the relationship between Pacium and the firm or person using the website at pacium.com, the product application, the desktop client, and the related integrations (together, the "Services").
"You" means the accounting firm that has subscribed to Pacium or the individual using the Services on the firm's behalf. By creating an account, signing in, or otherwise using the Services you confirm that you have read these Legal Terms and accept them. If anything here is unacceptable to you, please do not use the Services.
The Services are made for adult professionals acting on behalf of an accounting firm or a similar regulated organisation. They are not designed for personal use, for minors, or for industries subject to dedicated regimes such as HIPAA.
We can be reached by email at contact@pacium.com or by post at the address above. Where these Legal Terms ask for a written notice, email to that address counts as writing.
1. Our services
Pacium is shaped around the European accounting profession: EU accounting directives, anti-money-laundering regulations, professional standards, and the day-to-day mailbox-driven workflow of an accounting firm. It is available to firms across the EEA, but you should not assume the Services have been tailored for a regime outside that scope.
The Services have not been designed against industry-specific regulations like HIPAA, FISMA, or PCI-DSS, and we ask you not to use them in a context that would pull those regimes in. Where local rules in your jurisdiction restrict access to a service like Pacium, complying with those rules is your responsibility.
2. Intellectual property rights
Our intellectual property
All elements of the Services that we built or licensed in, including the source code, databases, model prompts, UI design, copy, trademarks, and logos (together, the "Content" and "Marks"), remain ours or our licensors'. Nothing in these Legal Terms transfers ownership of those assets to you.
Your use of the Services
For as long as you comply with these Legal Terms we grant you a non-exclusive, non-transferable, revocable licence to access the Services and to print or store reasonable copies of any Content you legitimately accessed, strictly for internal use inside your firm. Anything beyond that, including reselling, embedding into another product, or using our Marks publicly, needs our prior written permission at contact@pacium.com.
Your submissions
If you send us feedback, ideas, bug reports, or feature requests ("Submissions"), we may use them to improve the Services without owing you anything in return. You confirm that your Submissions are yours to share, that you are not disclosing anyone's confidential information, and that we are free to act on them.
3. User representations
By signing up and using Pacium you are telling us, for yourself and for the firm you sign up on behalf of, that:
- The information you give us when creating the account is accurate and complete, and you will keep it up to date.
- You have the legal capacity to enter into these Legal Terms and the authority to bind the firm if you are signing on its behalf.
- You are at least 18 and not a minor in your jurisdiction.
- You will reach the Services through normal use or our documented APIs, not through scrapers, headless agents, or other automation we did not sanction.
- Your use of the Services will not break any law that applies to you, including professional secrecy and accounting rules.
4. User registration
You must register to use the Services. Each User must have their own account; account sharing is not permitted. Authentication is performed through supported OAuth providers (Microsoft Entra ID, Google). You are responsible for keeping your credentials confidential and for all activity carried out under your account. We may reclaim or change a username that we determine, in our reasonable discretion, to be inappropriate or confusing.
The Services operate on a multi-tenant model. Each customer organisation is logically isolated. Users are assigned roles (owner, admin, member) that determine their access level within the organisation.
5. Purchases and payment
We accept payment by major debit and credit cards and by SEPA direct debit through Stripe. You agree to provide current, complete, and accurate purchase and account information for all purchases made via the Services, and to promptly update payment details so we can complete your transactions and contact you as needed.
All prices are in euros and exclusive of VAT unless otherwise stated. VAT is added at the applicable rate. We may correct errors or mistakes in pricing even if we have already requested or received payment, and we may refuse or limit any order at our discretion.
6. Subscriptions
Billing and renewal
Subscriptions run on a rolling basis and renew automatically at the end of each billing cycle (monthly or annual, depending on the plan you chose) until you cancel. By subscribing you let us charge the payment method on file for each renewal without asking again.
Cancellation
You can cancel at any time from inside the product or by emailing contact@pacium.com. The cancellation takes effect at the end of the current paid term and you keep access until then. Fees already paid are not refunded except where consumer law requires it.
Fee changes
Price changes are announced at least 30 days before they take effect and apply from the next billing cycle. If you do not want to continue at the new price, you can cancel before that cycle starts.
7. Software
The Services include client software, including a desktop application. Unless accompanied by a separate end-user licence agreement, we grant you a non-exclusive, revocable, personal, and non-transferable licence to use that software solely in connection with the Services and in accordance with these Legal Terms. The software is provided "AS IS" without warranty of any kind. You may not reproduce or redistribute it.
8. AI features
Nature of AI output
The AI features in Pacium produce suggestions, not finished work. Drafts, classifications, knowledge extractions, retrieval answers, and client profiles are starting points to review, edit, and approve. Like any large-language-model system, the output can be wrong, can omit context, and can hallucinate facts that look correct.
Human-in-the-loop
By using the AI features you accept that:
- A qualified person at the firm reviews every AI-generated email before it is sent.
- Regulatory or tax answers are verified against authoritative sources before they are relied on.
- Data extracted by AI is checked before it enters accounting systems or client records.
- The firm remains responsible for what is sent and what is decided on the basis of the output.
No professional advice
Pacium is a tool that supports professional judgment, not a source of legal, tax, or accounting advice on its own. The outputs of the Service do not create a client-advisor relationship with Pacium.
AI providers
Inference is routed to Anthropic (Claude) via AWS Bedrock EU, to Google Vertex AI (Gemini) in europe-west1, and to AWS Bedrock for foundation models hosted there. All three are engaged under data-processing terms that prohibit training on the data we send through their APIs, and the optional training-related features those providers offer are disabled. 9. Email integration
OAuth authorisation
To use the email features, a User must authorise Pacium to access their mailbox via OAuth (Microsoft Graph or Gmail). You may revoke this authorisation at any time from your email provider's settings or from the Pacium dashboard.
Sending email
When the Services send email on your behalf, those messages originate from your mailbox and remain your responsibility. You agree to comply with all applicable anti-spam laws, including the ePrivacy Directive and applicable national implementing rules.
Mailbox storage
Messages synchronised by the Services are stored in our EU-based infrastructure. This copy supports the Service features and is not a substitute for your email provider's own storage.
10. Prohibited activities
Pacium is offered for a specific purpose, namely running an accounting firm's mailbox and assistant workflow. Outside of that, the things below are not allowed:
- Systematically retrieve data or other content from the Services to build a competing database, directory, or product, without our written permission.
- Trick, defraud, or mislead us or other users, including by attempting to learn sensitive account information.
- Circumvent, disable, or otherwise interfere with security features of the Services, including tenant isolation, access controls, or rate limiting.
- Use information obtained from the Services to harass, abuse, or harm another person.
- Use the Services in a manner inconsistent with applicable laws or regulations.
- Upload or transmit viruses, malware, or any material that interferes with the Services or other users.
- Engage in automated use of the system beyond documented APIs.
- Attempt to impersonate another user or person.
- Interfere with, disrupt, or create an undue burden on the Services or connected networks.
- Reverse-engineer, decompile, or disassemble any part of the Services, except as permitted by applicable law.
- Use the Services to compete with us or to develop a competing product.
- Use the Services to send spam, phishing, or other unsolicited communications.
- Use AI features to generate misleading, fraudulent, or deceptive content.
- Attempt to extract or replicate AI model behaviour through systematic querying.
11. User contributions
The Services may allow you to create or upload content, including documents, notes, prompts, and configuration (collectively, "Contributions"). You retain ownership of your Contributions. You represent and warrant that your Contributions do not infringe any third party's intellectual property, privacy, or other rights, are not unlawful, and that you have the necessary consents to share them through the Services. You grant Pacium the limited licence described in Section 23 to process your Contributions for the purpose of providing the Services.
12. Third-party services
The Services integrate with third-party services such as Microsoft, Google, accounting software, e-invoicing networks, and AI providers. We do not control those services and are not responsible for their content, policies, or availability. Your use of any third-party service is governed by that provider's terms, and you are responsible for complying with them. We may provide links to third-party websites for convenience without endorsement.
13. Services management
We reserve the right, but not the obligation, to:
- Monitor the Services for breaches of these Legal Terms.
- Take appropriate legal action against anyone who, in our reasonable judgment, breaches the law or these Legal Terms, including by reporting them to law enforcement.
- Refuse, restrict access to, limit the availability of, or disable any of your Contributions or any portion of them.
- Remove or otherwise disable files and content that are excessive in size or burdensome to our systems.
- Otherwise manage the Services in a manner designed to protect our rights and property and to facilitate proper operation.
14. Privacy policy
How Pacium handles personal data is set out in the Privacy Policy, and the controller-processor relationship between the firm and Pacium is set out in the Data Processing Agreement. Both documents are incorporated into these Legal Terms. The Services run on EEA infrastructure with the sub-processors and safeguards described on the sub-processor page.
15. Term and termination
These Legal Terms remain in full force and effect while you use the Services. We may suspend or terminate your access at any time, with or without notice, for breach of these Legal Terms, non-payment, or where continued service is not commercially or legally viable. We will give reasonable notice except in cases of serious or repeated breach.
Upon termination, you may request export of your Service Data within 30 days. After that period, data will be deleted in accordance with our retention policies, except where retention is required by law (in particular applicable accounting and anti-money-laundering legislation).
16. Modifications and interruptions
We reserve the right to change, modify, or remove the contents of the Services at any time and for any reason at our sole discretion. Material changes affecting paid plans will be communicated at least 30 days in advance. We cannot guarantee the Services will be available at all times: hardware, software, or third-party problems may cause interruptions, and we may need to perform maintenance. We have no liability for losses caused by your inability to access or use the Services during such downtime.
17. Governing law
These Legal Terms and your use of the Services are governed by and construed in accordance with the laws of Belgium, without regard to its conflict-of-law principles. Mandatory consumer rights of users resident in the EEA are not affected by this choice of law.
18. Dispute resolution
To expedite resolution and control costs, the parties agree to first attempt to negotiate any dispute informally for at least thirty (30) days, starting from written notice given by one party to the other.
If the parties cannot resolve a dispute through informal negotiations, the dispute will be submitted to the exclusive jurisdiction of the courts of Leuven, Belgium, unless mandatory law provides otherwise. Each party retains the right to seek injunctive or other equitable relief from a competent court at any time to protect its intellectual property or confidential information.
19. Corrections
There may be information on the Services that contains typographical errors, inaccuracies, or omissions, including descriptions, pricing, availability, and other information. We reserve the right to correct any errors and to change or update the information on the Services at any time, without prior notice.
20. Disclaimer
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SERVICES AND YOUR USE OF THEM, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE MAKE NO WARRANTIES OR REPRESENTATIONS ABOUT THE ACCURACY OR COMPLETENESS OF THE SERVICES' CONTENT, ANY AI-GENERATED OUTPUT, OR THE CONTENT OF ANY WEBSITES OR APPLICATIONS LINKED TO THE SERVICES, AND WE ASSUME NO LIABILITY OR RESPONSIBILITY FOR ANY (1) ERRORS, MISTAKES, OR INACCURACIES OF CONTENT AND MATERIALS, (2) ANY UNAUTHORISED ACCESS TO OR USE OF OUR SECURE SERVERS OR ANY PERSONAL OR FINANCIAL INFORMATION STORED THEREIN, (3) ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE SERVICES, (4) ANY BUGS, VIRUSES, OR THE LIKE TRANSMITTED TO OR THROUGH THE SERVICES BY ANY THIRD PARTY, OR (5) ANY ERRORS OR OMISSIONS IN ANY CONTENT AND MATERIALS, OR FOR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF THE USE OF ANY CONTENT POSTED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE VIA THE SERVICES. NOTHING IN THESE LEGAL TERMS LIMITS LIABILITY FOR FRAUD OR FOR ANY OTHER LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.
21. Limitations of liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, NEITHER PACIUM NOR ITS DIRECTORS, EMPLOYEES, OR AGENTS WILL BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR DAMAGES ARISING FROM RELIANCE ON AI-GENERATED OUTPUT, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY UNDER OR IN CONNECTION WITH THESE LEGAL TERMS WILL NOT EXCEED THE TOTAL FEES PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY. THIS SECTION DOES NOT LIMIT LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.
22. Indemnification
You agree to defend, indemnify, and hold Pacium harmless, including our affiliates and our and their officers, agents, partners, and employees, from any loss, damage, liability, claim, or demand, including reasonable legal fees, made by any third party arising out of: (1) use of the Services in breach of these Legal Terms, (2) your breach of these Legal Terms, (3) any breach of your representations and warranties, (4) your violation of the rights of a third party, including intellectual property or privacy rights, or (5) any decision you make on the basis of AI-generated output. We may, at your expense, assume the exclusive defence and control of any matter for which you are required to indemnify us, and you agree to cooperate with that defence.
23. User data
We process the data you transmit to the Services in order to operate the Services and to manage their performance, in accordance with the Privacy Policy and the Data Processing Agreement. You retain ownership of your Service Data. You grant Pacium a limited, non-exclusive licence to process your Service Data solely for the purpose of providing and improving the Services. We do not use the content of your communications or documents to train foundation AI models. Although we perform regular backups, you are solely responsible for retaining your own records, and you waive any right of action against us arising from loss or corruption of Service Data to the extent permitted by law.
24. Electronic communications
Visiting the Services, sending us emails, and completing online forms constitute electronic communications. You consent to receive electronic communications and agree that all agreements, notices, disclosures, and other communications provided to you electronically, via email and on the Services, satisfy any legal requirement that such communication be in writing. You agree to the use of electronic signatures, contracts, and records, in accordance with Regulation (EU) No 910/2014 (eIDAS) and applicable EU law.
25. Miscellaneous
These Legal Terms and any policies or operating rules posted by us on the Services constitute the entire agreement and understanding between you and us. Our failure to exercise or enforce any right or provision of these Legal Terms does not operate as a waiver of that right or provision. We may assign our rights and obligations to others at any time. We are not responsible for any loss, damage, delay, or failure to act caused by any cause beyond our reasonable control. If any provision of these Legal Terms is determined to be unlawful or unenforceable, that provision is severable and does not affect the validity of the remaining provisions. Nothing in these Legal Terms creates a joint venture, partnership, employment, or agency relationship between you and us.
