Terms and Conditions

1. Definitions
"Pacium," "we," "us," or "our" refers to Pacium, registered at Dalenstraat 2, 3020 Winksele, Belgium (VAT: BE1025608813).
"Platform" refers to the Pacium SaaS application, including all AI-powered features, email client functionality, integrations, and related services.
"Customer" or "you" refers to the Accounting Firm or professional organization that subscribes to Pacium.
"User" refers to any individual authorized by the Customer to access the Platform.
"Service Data" refers to all data uploaded, synced, or generated through use of the Platform, including emails, documents, client profiles, and AI-generated content.
"AI Features" refers to all artificial intelligence and machine learning capabilities within the Platform, including but not limited to email drafting, knowledge extraction, client profiling, sender classification, regulatory question answering, and hallucination detection.
2. Acceptance of Terms
By accessing or using the Platform, you agree to be bound by these Terms and Conditions. If you are accepting on behalf of an organization, you represent that you have the authority to bind that organization. If you do not agree, you may not use the Platform.
3. Description of Service
Pacium provides an AI-powered email client and communication platform for accounting firms. The Platform includes:
- Email synchronization and sending via Microsoft Outlook and Google Gmail
- AI-powered email drafting, classification, and knowledge extraction
- RAG-based (Retrieval-Augmented Generation) assistant for regulatory and accounting questions
- Client profiling and communication pattern analysis
- Document processing and OCR capabilities
- Integration with accounting software and e-invoicing networks
- Brand analysis and communication style matching
4. Account and Access
4.1 Registration
You must provide accurate and complete information when creating an account. Each User must have their own account. Account sharing is not permitted.
4.2 Authentication
Access to the Platform requires authentication via supported OAuth providers (Google, Microsoft Entra ID). You are responsible for maintaining the security of your authentication credentials and for all activity under your account.
4.3 Organization Structure
The Platform operates on a multi-tenant model. Each Customer organization is logically isolated. Users are assigned roles (owner, admin, member) that determine their access level within the organization.
5. AI Features and Limitations
5.1 Nature of AI Output
AI Features are assistive tools. All AI-generated content, including email drafts, regulatory answers, client profiles, and knowledge extractions, are suggestions that require human review and approval. AI output may contain errors, inaccuracies, or hallucinations.
5.2 Human Review Requirement
You acknowledge and agree that:
- All AI-generated email drafts must be reviewed by a qualified professional before sending
- AI-generated regulatory or tax answers must be verified against authoritative sources before relying on them
- AI-extracted data must be verified before entry into accounting systems or client records
- You bear full responsibility for any content sent or decisions made using AI-generated output
5.3 No Professional Advice
AI-generated content does not constitute legal, tax, financial, or professional accounting advice. Pacium is a tool to assist qualified professionals, not a replacement for professional judgment.
5.4 AI Providers
The Platform uses third-party AI providers including Anthropic (Claude), Google (Gemini), and OpenRouter. Your data is processed by these providers solely to deliver Platform functionality. These providers are contractually prohibited from using your data to train their models.
6. Data Ownership and Rights
6.1 Your Data
You retain all ownership rights to your Service Data. We do not claim ownership of any data you upload, sync, or generate through the Platform.
6.2 License to Process
You grant Pacium a limited, non-exclusive license to process your Service Data solely for the purpose of providing and improving the Platform. This includes processing by AI systems and sub-processors as described in our Privacy Policy.
6.3 No Training on Your Data
We do not use your Service Data to train foundation AI models. We may use anonymized, aggregated metadata (such as usage patterns) to improve the Platform, but never the content of your communications or documents.
6.4 Data Portability
Upon request, we will provide your Service Data in a standard, machine-readable format. Upon termination, you may request a full export of your data before it is deleted.
7. Email Integration
7.1 OAuth Authorization
To use email features, you must authorize Pacium to access your email account via OAuth. You may revoke this authorization at any time through your email provider's settings or through the Platform.
7.2 Email Sending
When the Platform sends emails on your behalf, those emails are sent from your email account and are your responsibility. You agree to comply with all applicable anti-spam laws and email regulations.
7.3 Email Storage
Emails synced to the Platform are stored in our EU-based infrastructure. This is a copy of your email data, not a replacement for your email provider's storage.
8. Acceptable Use
You agree not to:
- Use the Platform for any purpose that violates applicable laws or regulations
- Attempt to reverse-engineer, decompile, or extract source code from the Platform
- Circumvent or attempt to circumvent tenant isolation or access controls
- Use the Platform to send spam, phishing, or other unsolicited communications
- Use AI Features to generate misleading, fraudulent, or deceptive content
- Share account credentials or allow unauthorized users to access the Platform
- Attempt to extract or replicate AI model behavior through systematic querying
- Upload malicious content, malware, or content that could compromise Platform security
9. Availability and Support
9.1 Uptime
We aim for high availability but do not guarantee uninterrupted service. Scheduled maintenance will be communicated in advance.
9.2 Support
Support is provided via email at contact@pacium.com. Response times depend on the nature and severity of the issue and your subscription tier.
10. Payment and Subscription
10.1 Fees
Subscription fees are as agreed in your service agreement or as published on our website. All prices are exclusive of VAT unless stated otherwise.
10.2 Billing
Fees are billed in advance on a monthly or annual basis. Late payments may result in suspension of access to the Platform.
10.3 Changes
We may change pricing with 30 days written notice. Price changes take effect at the start of the next billing cycle.
11. Limitation of Liability
11.1 AI Output
Pacium is not liable for any damages arising from reliance on AI-generated content, including but not limited to incorrect tax calculations, inaccurate regulatory advice, errors in email drafts, or misclassified communications. You are responsible for verifying all AI output before acting on it.
11.2 General Limitation
To the maximum extent permitted by Belgian law, Pacium's total aggregate liability for any claims arising from or related to these Terms or the Platform shall not exceed the total fees paid by you in the twelve (12) months preceding the claim.
11.3 Exclusions
Pacium is not liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, even if advised of the possibility of such damages.
12. Indemnification
You agree to indemnify and hold Pacium harmless from any claims, damages, or expenses arising from your use of the Platform, including but not limited to: content you send via the Platform, your violation of these Terms, your violation of applicable laws, and decisions made based on AI-generated output.
13. Intellectual Property
The Platform, including its software, design, algorithms, and documentation, is the intellectual property of Pacium. Your subscription grants you a limited, non-exclusive, non-transferable right to use the Platform for its intended purpose. You may not copy, modify, distribute, or create derivative works from the Platform.
14. Termination
14.1 By You
You may terminate your subscription at any time. Access continues until the end of the current billing period. No refunds are provided for partial billing periods.
14.2 By Pacium
We may suspend or terminate your access if you violate these Terms, fail to pay fees, or if continued service is not commercially viable. We will provide reasonable notice except in cases of serious violations.
14.3 Effect of Termination
Upon termination, you may request export of your Service Data within 30 days. After this period, your data will be deleted in accordance with our data retention policies, except where retention is required by law.
15. Governing Law and Disputes
These Terms are governed by Belgian law. Any disputes shall be submitted to the courts of Leuven, Belgium.
16. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated via email or in-app notification at least 30 days before taking effect. Continued use of the Platform after changes constitutes acceptance.
